Terms of Service

Acceptance of Terms

By accessing or using OfficeBlink, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you must not use the platform. These terms constitute a binding agreement between you (or the organisation you represent) and OfficeBlink Ltd.

Please read these terms carefully. They contain important information about your legal rights, remedies, and obligations.

Description of Services

OfficeBlink provides a cloud-based payroll and HR management platform, including payroll processing, leave management, performance management, expense management, compliance tracking, and related services as described at officeblink.com/features.

We reserve the right to modify, suspend, or discontinue services with reasonable notice to platform administrators. Ongoing improvements and updates are provided to all active subscription tiers.

Accounts and Access

To use OfficeBlink you must create an account. You are responsible for maintaining the security of your credentials. You must notify us immediately of any unauthorised access. Accounts must be used only by the individual or organisation to whom they are issued.

Each account is associated with a single company entity. Use across multiple legal entities requires separate agreements or an enterprise multi-tenant configuration.

Customer Obligations

As a customer you agree to and warrant the following:

  • Information Accuracy: Provide accurate and complete information during onboarding and maintain its accuracy throughout the term.
  • Data Rights: Ensure all employee data you upload is accurate and lawfully obtained with necessary consents.
  • Compliance Configuration: Configure payroll settings accurately to comply with applicable tax and employment laws in your jurisdiction.
  • Security Notification: Promptly notify OfficeBlink of any data breaches or security incidents involving your account credentials.

OfficeBlink is not liable for errors, penalties, or damages resulting from inaccurate data or misconfiguration by the customer.

Acceptable Use

You agree not to:

  • Use the platform for any unlawful purpose or in violation of local employment laws.
  • Attempt to reverse engineer, decompile, or extract source code from any part of the platform.
  • Access the platform via automated means (bots, scrapers) without express written permission.
  • Upload malware, scripts, or content designed to disrupt the integrity of platform services.
  • Share credentials or grant access to unauthorised third parties without a valid user licence.
  • Use the platform to process data for any purpose beyond HR, payroll, and corporate people operations.

Fees and Payment

Subscription fees are set out in your order form or platform-generated proposal.

Invoicing

Fees are invoiced [monthly/annually] in advance. Late payment may result in service suspension after [X] days notice.

Pricing Changes

Pricing may change on renewal with [30 days] written notice. Volume discounts are available on request.

All fees are exclusive of applicable taxes, which will be added to invoices where required by law.

Data and Privacy

OfficeBlink processes employee data as a data processor on behalf of the customer (the data controller). Our data processing activities are governed by a Data Processing Agreement (DPA), available on request.

See our Privacy Policy for details of how we handle website visitor data as a data controller. We maintain strict technical and organisational measures (TOMs) to protect your data.

Intellectual Property

OfficeBlink and all associated trademarks, logos, platform software, and documentation are the intellectual property of OfficeBlink Ltd. No licence to use our IP is granted beyond what is expressly required to use the platform for its intended purpose.

Customer Data: All data submitted by the customer remains the intellectual property of the customer. OfficeBlink claims no ownership over data you submit to the platform.

Confidentiality

Each party agrees to keep confidential the other's non-public information disclosed in connection with the service. This includes technical specifications, pricing, and business logic.

Confidentiality obligations survive termination for a period of [3 years], except for information that becomes publicly available through no fault of the receiving party.

Warranties and Disclaimers

OfficeBlink warrants that the platform will perform materially as described in the official documentation.

EXCEPT AS EXPRESSLY SET OUT, THE PLATFORM IS PROVIDED "AS IS". WE DISCLAIM ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OFFICEBLINK'S TOTAL LIABILITY ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE FEES PAID BY THE CUSTOMER IN THE [12] MONTHS PRECEDING THE CLAIM.

We shall not be liable for indirect, consequential, incidental, or punitive damages, including loss of profit or data, even if we have been advised of the possibility of such damages.

Nothing in these terms limits liability for death, personal injury caused by negligence, or fraud.

Termination

Either party may terminate this agreement on [30 days] written notice. OfficeBlink may terminate immediately for material breach, including non-payment of fees.

On termination, customer data will be available for export for [30 days], after which it will be deleted in accordance with our data retention policy.

Governing Law

These terms are governed by the laws of [Jurisdiction Placeholder]. Any disputes shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction Placeholder].

Dispute Resolution

Parties agree to attempt to resolve any dispute through good-faith negotiation for a period of 30 days before initiating formal legal proceedings.

Changes to Terms

We may update these terms from time to time. We will notify you of material changes by email or in-app notice at least [14 days] before they take effect.

Continued use of the platform after the effective date constitutes your acceptance of the updated terms.
